Eaton Corporation PowerAdvantage Partner Program Terms and Conditions
The Eaton Industries Pty Ltd (“Eaton”) partner participating
in the PowerAdvantage Partner Program (the “Participant”)
agrees to the following:
A. PowerAdvantage Partner Program (“Program”) Eligibility:
To be eligible for the Program, the Participant:
-
Must be a reseller of information technology and/or Eaton electrical
products and/or services (servers, storage, workstations, networking
gear, notebook computers, computer peripherals, UPS etc.) to end
users;

must have a valid ABN;
-
shall demonstrate commitment and dedication to the development of
incremental business in Eaton products as well as to increasing
awareness of the Eaton brand name; and
-
Register for access to the online PowerAdvantage Partner Program
portal and agree to be bound by these terms and conditions of the
Program.
B. Obligations of Eaton

Eaton will designate the Participant as an “Approved Partner”
in the Program if the Participant meets the “Approved Partner”
requirements detailed in Schedule A. Eaton will provide the Participant
with the benefits available to an Approved Partner as outlined in the
Eaton PowerAdvantage program overview brochure.

Eaton will designate the Participant as an “Authorised Partner”
in the Program if the Participant meets the “Authorised Partner”
requirements detailed in Schedule A. Eaton will provide the Participant with
the benefits available to an Authorised Partner as outlined in the Eaton
PowerAdvantage program overview brochure.

Eaton will designate the Participant as an “Certified Partner”
in the Program if the Participant meets the “Certified Partner”
requirements detailed in Schedule A. Eaton will provide the Participant
with the benefits available to a Certified Partner as outlined in the Eaton
PowerAdvantage program overview brochure.
C. Obligations of Participant
The Participant:

agrees to receive communications from time to time from Eaton on products
and promotions directly relevant to the Participant's line of business;

agrees to allow Eaton to use the Participant's name in promotional
materials, including press releases, presentations, customer references
and reseller lists regarding the sale of Eaton products. Eaton will
obtain the Participant's prior written approval for publicity documents
that contains claims, quotes, endorsements or attributions by the
Participant;

shall keep confidential all data, information, specifications,
documentation, and other material (tangible or intangible) which is
disclosed by Eaton to the Participant in connection with the Program
and designated by Eaton as confidential;

shall comply with any logo or trademark usage guidelines issued by
Eaton in connection with the Program. Partner brand guidelines can

Schedule A – Tiered Membership Level Requirements
Approved Partner
-
Successfully complete the online registration form within the Eaton
partner portal and be approved in writing by Eaton.
-
Agree to the terms of the Program as set out in this document.
-
Have at least one program manager and / or one sales representative
successfully complete a Core Curriculum Training module.
Authorized Partner:
-
Successfully complete the online registration form within the Eaton
partner portal and be approved in writing by Eaton.
-
Agree to the terms of the program as set forth in this document.
-
Have at least one program manager and two sales representatives
successfully complete the Core Curriculum Training.
Certified Partner:
-
Meet minimum sales and volume goals:
-
Achieve a minimum of $500,000 annual sales of Eaton products.
-
Sell at least two different categories of Eaton Products
(Single Phase, Three Phase, DCS Solutions (including PDU's
and server racks), or Services).

Meet the following minimum business development requirements:
-
Complete Annual Business Development plan with Eaton.
-
Display and promote Eaton's logo on your web site.
-
Have at least one program manager and three sales representatives
successfully complete the Core Curriculum Training.
